Jackson McDonald is seeking an experienced Corporate Commercial Lawyer with 3 to 6 years’ post-admission experience in corporate law to join our Corporate Commercial team on a permanent basis.  We will consider both full-time and part-time candidates.

This is an exciting opportunity to work directly with partners, Elizabeth Tylich and Liam McLagan; to learn from their experience and to contribute to our Firm with your initiative, client focus and hands-on approach.   You will be working within our Corporate Commercial team both autonomously and collaboratively. 

You will have the opportunity to be involved in a diverse range of work including but not limited to:

  • Advising on the structuring, negotiation, and execution of mergers, acquisitions, and divestments, primarily involving private companies (e.g., share sales, asset sales).
  • Providing strategic advice on a wide range of corporate law matters, including detailed interpretation and application of the Corporations Act 2001 (Cth).
  • Advising boards and senior management on directors' duties, corporate governance best practices, conflicts of interest, and risk management frameworks.
  • Negotiating, drafting, reviewing and advising on a diverse range of commercial agreements.
  • Exposure to securities law principles, including requirements related to fundraising under the Corporations Act 2001 (Cth).
  • Providing advice on compliance with Australian regulatory regimes, including requirements enforced by ASIC (Australian Securities and Investments Commission) and potentially the ACCC (Australian Competition and Consumer Commission).
  • Advising on financial regulatory matters, specifically including Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) obligations.
  • Assisting clients with responses to regulatory inquiries or investigations.

General corporate experience in corporate transactions, corporate advisory and governance, private business, and general commercial contracting will also be considered valuable.  You will work with clients across a range of sectors, including government, mining, engineering and technology, start-ups, IT and IP, health, NFPs and charities, Aboriginal business and many more. 

Our successful candidate will be able to demonstrate the following:

  • 3 to 6 years’ post-admission experience;
  • Past experience in corporate law. Experience in finance law is advantageous;
  • A good understanding of commercial practice;
  • Strong communication skills;
  • Ability to meet timeframes, deadlines and be well-organised;
  • Demonstrated commerciality and client focus;
  • A genuine interest in corporate law and practice;
  • A collaborative attitude and approach;
  • Ability to work autonomously and in a team environment; and
  • Excellent technical knowledge and drafting skills.
